We are an independent service provider and are not affiliated with any state or government agency. We work with a network of independent, licensed CPAs and tax advisors. Every package price is plus the state filing fee.

Close your LLC

Four short steps, about 10 minutes. Have the LLC's formation document, a photo of your ID and, if the LLC has one, its EIN at hand. Nothing is charged until the last step, and you check all details before you sign.

Where was your LLC formed?

State fee for this state: $60, added at checkout at cost.

Choose your package

All prices are for our work, plus the state fee.

Good to know: the IRS closes the EIN account once the LLC's final tax return has been filed.

Your LLC
LLC address

The address the IRS and the state have on file for the LLC. Often your registered agent's or a US mailing address.

Where things stand

At checkout you pay the standard cost. If the state requires an overdue amount first, such as a missed annual report, we get back to you about it before anything is paid.

About you

The person who signs the authorization: a member or manager of the LLC. Your last name is also what you use to check your order status.

Your ID and the LLC

Before we close an LLC for anyone, we check that they are who they say they are and that they belong to the LLC. Files can be a photo or scan, as PDF, JPG or PNG, up to 10 MB each.

Authorization

This lets us, and a licensed CPA or tax advisor we designate from our network, act for the LLC to close it. You get a copy by email.

Authorization to dissolve and close the LLC

I, [your name], confirm that I am a member of [LLC name] (the "LLC"), that I am authorized to act on its behalf, and that the LLC's members have agreed to dissolve it.

On behalf of the LLC I authorize Paircat UG (haftungsbeschränkt), Kolonnenstr. 8, 10827 Berlin, Germany, operating as CloseLLCNow, and the people it engages for this order, to:

  1. prepare and file the Articles of Dissolution for the LLC with the Wyoming Secretary of State, sign the filing as authorized person where Wyoming permits this, and pay the state filing fee on the LLC's behalf;
  2. check the LLC's standing with the state and its registered agent, and request any certificate or confirmation the state issues;
  3. prepare the letter to the Internal Revenue Service (IRS) that asks it to close the LLC's EIN business account, and mail it to the IRS once I have signed it;
  4. engage a licensed certified public accountant (CPA) or tax advisor designated by CloseLLCNow to carry out or take over any part of this work, and share with them the information and documents I provide for this order;
  5. communicate with the state, the registered agent and that CPA or tax advisor about these matters on the LLC's behalf.

Where a state only accepts a document with a member's or manager's signature, CloseLLCNow prepares it and sends it to me to sign. I understand that this authorization does not appoint anyone as the LLC's representative before the IRS, and that the IRS sends its reply to the LLC's address on file.

I confirm that the information in this order is true and complete. I understand that CloseLLCNow is not a law firm or a CPA firm and does not give legal or tax advice, and that this order does not include preparing or filing any tax return or advising which one the LLC has to file.

I may withdraw this authorization by email to CloseLLCNow at any time before the work it covers has been done. I agree that this authorization is signed and kept electronically, and that typing my full name below is my electronic signature.

You will be taken to Stripe to pay the standard cost by card. Nothing is charged before that. If the state requires an overdue amount first, such as a missed annual report, we get back to you about it before anything is paid.
