Terms of Service

1. Who we are
CloseLLCNow (closellcnow.com) is operated by Paircat UG (haftungsbeschränkt), Kolonnenstr. 8, 10827 Berlin, Germany, registered with the Amtsgericht Charlottenburg under HRB 284756 B, represented by its managing director Pëllumb Dalipi ("CloseLLCNow", "we", "us"). Contact: contact@closellcnow.com.
2. Scope
These terms govern every order placed through closellcnow.com. By placing an order you accept them. Deviating terms of the customer do not apply unless we agree to them in writing. "LLC" or "customer" means the limited liability company named in the order, which is our contracting party. The "signer" is the person who places the order and signs the authorization on the LLC's behalf. Orders are placed by the LLC for the purposes of its business, so the customer acts as a business (Section 14 of the German Civil Code, BGB), not as a consumer.
3. The packages
The customer chooses one of the following packages. The second package includes the services of the first.
- Dissolution package: we check the LLC's standing with the state of formation, prepare and file the state's dissolution or cancellation document for the LLC, pay the state filing fee from the amount charged for it, and send the customer the state's confirmation.
- Dissolution and EIN closure package: in addition, we prepare the letter asking the Internal Revenue Service (IRS) to close the LLC's Employer Identification Number (EIN) business account, send it to the signer for signature, and mail the signed letter to the IRS. Our contact with the IRS is limited to sending that letter. The IRS replies by mail to the address it has on file for the LLC, not to us.
The following are not part of any package: state annual reports, franchise taxes, fees, penalties or reinstatement costs that are owed before the state accepts a dissolution; preparing or filing any federal or state tax return, including the LLC's final return and returns for earlier years; personal tax returns of the owners; payment of any tax; and closing bank, payment or registered agent accounts. Where any of these come to our attention, we point them out to the customer. The amount paid at checkout is the standard cost of the package and the state filing fee. Where the state requires an overdue amount before it accepts the dissolution, we get back to the customer about it, and nothing beyond the state filing fee is paid on the LLC's behalf without the customer's approval. Some amounts, such as penalties assessed by the IRS, are set by the authority and cannot always be known in advance.
We are not a law firm, a CPA firm, a tax advisor or an enrolled agent, and we are not affiliated with any state, the IRS or any government authority. We do not give legal or tax advice and do not tell the customer which tax return the LLC has to file. We work with a network of independent, licensed CPAs and tax advisors. Where a CPA or tax advisor is engaged for an order, they are responsible for their own professional work. The customer remains responsible for the accuracy and completeness of the information provided and for the LLC's obligations until it is closed.
4. Authorization
With the order the signer signs an authorization, on behalf of the LLC, allowing us and a licensed CPA or tax advisor we designate to carry out the package. A copy is emailed to the customer. Where a state requires a document of its own to be signed by a member, manager or owner, and for the EIN closure letter to the IRS, we prepare the document and the signer signs it. Work that depends on such a document can only continue once it has been signed and returned.
The customer agrees that the authorization, these terms and the other documents for the order may be signed, sent and kept electronically, and that typing the signer's full name in the order form is the signer's electronic signature.
5. Order process and contract formation
The signer enters the required information in the order form, signs the authorization, confirms these terms, and is redirected to our payment provider (Stripe) to pay. The contract is concluded when the payment is completed. We then send an order confirmation by email containing the order number. No account is created.
6. Price and payment
The price is the package price stated at the time of the order plus the filing fee the state of formation charges for the dissolution, which we pass on at cost and show separately before payment. Where German value added tax is due, it is included in the stated price. Payment is made in advance by card via Stripe. We do not store card details. If a state changes its filing fee between the order and the filing, we settle the difference with the customer before filing.
7. Timing
We begin work after payment. Once the LLC is in good standing and we have what we need from the customer, we usually file with the state within a few business days. Processing times of the states and the IRS are outside our control and can range from days to several weeks; the IRS in particular confirms EIN closures by mail. We keep the customer informed by email. Delays caused by a state, the IRS, or missing information or signatures do not entitle the customer to a price reduction or damages.
8. Cancellation and refunds
The customer may cancel the order at any time by email to contact@closellcnow.com stating the order number. If we have not yet filed anything with the state, we refund the full amount paid. After the state filing, the state fee has been paid to the state and the filing cannot be undone, so we refund the amount paid less the state fee and less a share of the package price proportionate to the work done up to the cancellation. If we cannot complete the dissolution for a reason on our side, we refund the full amount paid for the parts not completed. If a state refuses the filing because of facts on the LLC's side, for example unpaid state fees the customer chooses not to settle, we refund on the same proportionate basis, together with any state fee not yet paid.
9. Right of withdrawal
The customer is an LLC acting as a business, so the statutory right of withdrawal for consumers does not apply. Should an order nonetheless be treated as a consumer contract, the following withdrawal instruction applies. With the order, the signer expressly asked us to begin the service before the end of the withdrawal period and acknowledged that the right of withdrawal expires once we have fully performed the service (Section 356(4) BGB).
Withdrawal instruction
Right of withdrawal. You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the day of the conclusion of the contract. To exercise the right of withdrawal, you must inform us, Paircat UG (haftungsbeschränkt), Kolonnenstr. 8, 10827 Berlin, Germany, email contact@closellcnow.com, of your decision to withdraw from this contract by an unequivocal statement (for example a letter sent by post or an email). You may use the model withdrawal form below, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your notice before the withdrawal period has expired.
Effects of withdrawal. If you withdraw from this contract, we refund all payments received from you without undue delay and at the latest within 14 days from the day on which we are informed about your decision to withdraw. We use the same means of payment as you used for the initial transaction, unless expressly agreed otherwise; in no event are you charged any fees for this refund. If you requested that the service begin during the withdrawal period, you pay us an amount proportionate to what has been provided until you informed us of the withdrawal, compared with the full coverage of the contract. This includes any state filing fee we have already paid to the state for you.
Expiry. The right of withdrawal expires once we have fully performed the service, if we only began the performance after you gave your express consent and acknowledged that you lose your right of withdrawal on full performance.

10. Customer obligations
The signer confirms that the information provided is true and complete, that the signer is a member or manager of the LLC or authorized by its members, and that the members have agreed to dissolve the LLC. With the order, the signer provides a photo or scan of a valid government ID and a document that links the signer to the LLC, such as its formation document, and confirms that both are genuine. We file nothing on the LLC's behalf until we have verified them. If they cannot be verified, we may ask for further documents or cancel the order with a full refund. The customer will answer our questions, and those of any CPA or tax advisor engaged for the order, promptly, and the signer will sign the documents the state requires and the EIN closure letter. The customer is responsible for having the LLC's final tax return and any outstanding returns filed; the IRS closes the EIN account only once they are. Delays caused by incorrect information or lack of response are not our responsibility.
11. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body, or health, and under the German Product Liability Act. For slight negligence we are liable only for breach of essential contractual obligations (obligations whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the customer regularly relies), and then limited to the foreseeable damage typical for this type of contract. In all other respects liability is excluded. In particular we are not liable for decisions or processing times of states, the IRS or other third parties, for taxes, fees or penalties owed by the LLC or its owners, or for consequences of incorrect or incomplete information provided by the customer.
12. Data protection
We process personal data as described in our privacy policy. The information in the order is transferred to the state of formation, to the IRS and to any CPA or tax advisor working on the order as necessary to perform the service.
13. Final provisions
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where the customer acts as a business, the exclusive place of jurisdiction is Berlin, Germany, to the extent permitted by law. Should an order be treated as a consumer contract, mandatory consumer protection provisions of the consumer's country of residence and the statutory rules on jurisdiction remain unaffected. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board. Should any provision of these terms be invalid, the remaining provisions remain unaffected.
